Terms of Service

1. Acceptance

By accessing or using GiiS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. GiiS is operated by DMC Capital. These terms apply to all users including Free, Pro, and Enterprise accounts.

2. Description of service

GiiS provides an AI-powered chat assistant, document search, and productivity tools via a web application at chat.giis.ai and desktop applications downloadable from giis.ai. The Service works with commercial AI provider APIs (your own key) or local models run through the desktop app.

3. Accounts

You must provide a valid email address to register. You are responsible for maintaining the security of your account and password. GiiS is not liable for any loss resulting from unauthorised use of your account.

4. Free tier and bring your own model

The Startup tier is free, with no credit card required. You may connect your own AI provider API key (OpenAI, Anthropic, Google, Amazon Bedrock, Azure OpenAI, or any LiteLLM-compatible provider), or run a fully local model through the desktop app via Ollama or LM Studio. When you use a local model, processing happens entirely on your own device.

5. Founders Pack

The Founders Pack is a one-time $999 purchase, available once per plan tier on an active subscription to that tier, adding bonus seats that persist for the life of the account. It is not a subscription and has no recurring charge.

6. Paid plans

Professional, Business and Enterprise plans are prepaid through Stripe, monthly or yearly, and include a set number of seats; extra seats are billed as an add-on. Subscriptions auto-renew unless cancelled. Cancellation takes effect at the end of the current billing period, and you keep access until then. All payments are non-refundable, including subscriptions, unused time in a billing period, the Founders Pack and Lifetime Custom Agent Slots. This does not affect your statutory rights. 7. Partner and creator programme

Anyone with a GiiS account can join the partner programme from Settings → Partners. Creators can also apply for sponsorship at sign-up. By sharing your partner link or code you agree to the following.

• Commission. You earn 80% of the first payment a new customer makes through your link or approved code, on any paid plan or the Founders Pack. It is calculated on what the customer actually paid, after discounts. Commission is paid once per customer; there is no recurring commission.
• What does not count. Free sign-ups, purchases made through your own link, and sales that are refunded, charged back or found to be fraudulent.
• Payouts. Commission is held for 30 days after the sale, then paid monthly in US dollars by PayPal once your balance is at least US$25. Smaller balances roll over to the next month. You must keep your payout details in GiiS accurate, and you are responsible for any tax on your earnings.
• Chargebacks. If a sale you were paid for is later charged back or reversed, we may deduct that commission from your future payouts or ask you to repay it.
• Honest promotion. Describe GiiS accurately and clearly label sponsored content and paid ads (for example #ad or “sponsored”), as Australian Consumer Law and the US FTC require. You may run paid ads, including on the GiiS name, as long as they are honest and do not imply they come from GiiS itself.
• No spam. Do not send unsolicited bulk messages, buy contact lists, post fake reviews, or break any platform's rules. Any email you send must comply with the Spam Act 2003 (Cth) and similar laws, including a working unsubscribe.
• Creator sponsorships. Plan access, agent slots or other benefits given to sponsored creators depend on continuing to post as agreed, and may end if you stop. Lifetime agent slots you received stay yours.
• Your relationship with us. Partners are independent. You cannot make promises, offer discounts or sign agreements on behalf of GiiS.
• Removal and changes. We may suspend or remove a partner who breaks these terms, and commission from sales that breach them is forfeited. We may change the programme with 30 days' notice; changes do not reduce commission you have already earned.

8. Acceptable use

You agree not to use GiiS to:

• Generate content that is illegal, harmful, threatening, abusive, or defamatory.
• Produce, distribute, or solicit child sexual abuse material — zero tolerance, immediate termination.
• Violate any applicable laws or regulations.
• Attempt to circumvent rate limits or access controls.
• Reverse engineer, scrape, or copy the Service in a way that violates our licence.
• Use the Service to train competing AI models without express written permission.

9. AI-generated content

GiiS provides AI-generated content for informational and productivity purposes only. AI responses may be inaccurate, incomplete, or outdated. You are solely responsible for verifying any information before relying on it for important decisions. GiiS makes no warranties about the accuracy of AI outputs.

10. Software licence

GiiS is proprietary software. Use of the hosted Service (chat.giis.ai) and any desktop or self-hosted deployment is governed by these Terms.

11. Intellectual property

You retain ownership of content you input into GiiS. You grant GiiS a limited licence to process your content solely to provide the Service. GiiS retains ownership of the platform, branding, and all software.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GIIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIIS AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time via account settings. Upon termination, your right to use the Service ceases immediately.

15. Changes to these terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance. We will post a notice on the platform for material changes.

16. Governing law

These Terms are governed by the laws of Victoria, Australia. Disputes shall be resolved in the courts of Victoria, Australia.
